These Terms of Service ("Terms") govern your use of this website and any purchase of meals, bundles, or related services from us. By accessing the site or placing an order, you agree to these Terms. If you do not agree, do not use the site or purchase.
This document is provided for informational purposes. It is not personalized legal advice. Consult an attorney for questions specific to your situation.
1. Who we are
"Onyx Vitals," "we," "us," and "our" refer to Onyx Holding LLC, a North Carolina limited liability company doing business as Onyx Vitals, with principal business address at 9311 JW Clay Blvd, Ste A 250, Charlotte, NC 28262. The company is managed by Waleed Hamer. Inquiries: [email protected].
2. Eligibility
You must be at least eighteen (18) years old and able to form a binding contract to place an order. By ordering, you represent that the information you provide is accurate and that you are authorized to use the payment method provided.
3. Products & perishable nature
We sell prepared meals and meal bundles that are perishable and produced on scheduled production runs. Images, descriptions, macros, and allergen notes are based on standardized recipes and labeling practices; minor batch variance may occur. Products are for personal consumption unless we agree in writing to a commercial or wholesale arrangement.
4. Ordering, weekly cutoff, and changes
Orders are subject to our published weekly cutoff (currently Thursday 11:59 p.m. Eastern Time unless stated otherwise on the site). After cutoff, your order is committed to sourcing and production. You may not cancel or modify a confirmed order after cutoff except where we expressly agree in writing or where required by applicable law.
5. Recurring orders and subscription programs
Orders may be placed on a one-time basis (manual checkout each week) or, where offered, through a recurring or subscription program. For any recurring program, the billing frequency, amount, and cancellation window will be disclosed at checkout and in the confirmation email before your first charge. Cancellation of a recurring order must be submitted before the applicable Thursday 11:59 p.m. Eastern Time cutoff to take effect for that week's production cycle. Charges already incurred before cancellation are subject to the no-refund policy in Section 7.
6. Pricing, taxes, and errors
All prices are in U.S. dollars. Applicable sales tax and delivery fees are calculated at checkout where required. We may correct pricing or availability errors; if we discover an error after you have paid, we will notify you and give you the option to proceed at the corrected price or receive a refund of amounts paid for the affected items only.
7. Payment & authorization
Payment is processed by our third-party payment processor. We do not store your full payment card number on our servers. By submitting payment information, you authorize us and our processor to charge your payment method for the total shown at checkout, including taxes and fees.
8. No refunds — all sales final (perishable goods)
EXCEPT AS EXPRESSLY REQUIRED BY APPLICABLE LAW, ALL SALES ARE FINAL AND WE DO NOT PROVIDE REFUNDS, RETURNS, OR EXCHANGES.
Our products are custom-prepared, time-sensitive, and perishable. Once production has begun or delivery has been scheduled, costs are incurred that cannot be recovered. You acknowledge that this no-refund policy is a material term of your purchase.
Chargebacks and payment disputes: before initiating a chargeback with your bank or card issuer, you must contact us at the email below and allow five (5) business days to respond. Unwarranted chargebacks may be treated as a breach of these Terms; we may contest illegitimate disputes and restrict future orders.
Nothing in this section limits any non-waivable rights you may have under applicable consumer protection law.
9. Limited remedy for delivery or quality failures
If you receive items that are demonstrably wrong (wrong SKU), have a compromised seal attributable to us before you open the package, or show clear spoilage at the time of delivery (not caused by delay after delivery or improper storage on your part), you must notify us within twenty-four (24) hours of delivery or pickup with photographs and your order number. We may, at our sole discretion, offer replacement meals on the next eligible route, account credit, or another remedy.
10. Delivery, pickup, and risk of loss
Delivery windows are estimates. Risk of loss and title pass to you when the order is delivered to the address you provided or when you collect it at pickup. Perishable products must be refrigerated promptly. We are not responsible for spoilage due to failed delivery access, incorrect address, or leaving products unrefrigerated. 11. Food safety, allergens, and health
We operate in a shared commercial kitchen. Allergen labeling reflects intentional ingredients for each SKU, not the absence of cross-contact. Severe allergy sufferers use our products at their own risk and should contact us before ordering. Our meals are not medical nutrition therapy; consult a clinician for clinical conditions.
12. Intellectual property
Site content, branding, menus, and marketing materials are owned by us or our licensors. You may not copy, scrape, or reuse them for commercial purposes without permission.
13. Prohibited use
You may not misuse the site, interfere with security, submit false orders, or use our services for unlawful resale schemes without agreement.
14. Disclaimers
To the maximum extent permitted by law, our services and products are provided "as is" without warranties of any kind other than those implied by law that cannot be waived.
15. Limitation of liability
To the fullest extent permitted by law, Onyx Vitals's total liability for any claim arising from an order or use of the site shall not exceed the amount you paid us for that order. We are not liable for indirect, incidental, special, consequential, or punitive damages.
16. Indemnity
You agree to defend and indemnify us against claims arising from your misuse of the site, violation of these Terms, or negligence in handling food after delivery.
17. Governing law & venue
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. You agree that exclusive jurisdiction for disputes arising from these Terms or your orders lies in the state or federal courts located in Mecklenburg County, North Carolina, except where prohibited by law.
18. Changes
We may update these Terms by posting a revised version with a new "Last updated" date. Material changes may be communicated by email or site notice where appropriate. Continued use after posting constitutes acceptance unless applicable law requires otherwise.
